Lot Current Terms of Service
Last updated: [date]. These Terms are between [Lot Current entity name] ("Lot Current", "we") and the dealership that subscribes ("Customer") and each person the Customer authorises to use the service ("User", "you").
1. What Lot Current is
Lot Current is browser software and related services that read a dealership's own website inventory, help a User prepare a Facebook Marketplace vehicle listing, and report inventory changes. Lot Current fills in forms and opens pages. The User publishes, edits and removes every listing personally. Lot Current does not publish, edit or delete listings on the User's behalf and does not act while the User is away.
Lot Current is not affiliated with, endorsed by or partnered with Meta Platforms, Inc. "Facebook" and "Marketplace" are used only to name the third-party service on which Users post.
2. Third-party rules you must follow
- Meta. You must comply with Meta's Terms of Service, Commerce Policies, Community Standards and any Marketplace vehicle-listing rules. Meta prohibits accessing its products "using automated means" without permission and restricts what dealers may list. Lot Current's design keeps a person in control of every publish action, but we make no promise that Meta will treat your use as compliant, and we have no control over Meta's decisions.
- Advertising law. You are responsible for the accuracy of every listing, including price, fees and dealer identification, under the FTC Act, state auto-advertising rules (for Pennsylvania, the Automotive Industry Trade Practices regulations) and any other law that applies to you.
- Your own website's terms. The Customer confirms it is entitled to have its website inventory read for its own listings (see the Dealer Subscription Agreement).
3. Acceptable use
You may not: use Lot Current to list new, demonstrator or loaner vehicles on Marketplace; publish prices that differ from the dealership's website price basis; use fake price changes, delete-and-relist or other ranking tricks; misrepresent the seller as a private party; make claims not supported by the dealership's data; discriminate in any listing; use multiple or shared Facebook accounts, proxies, spoofing or any evasion technique; attempt to make Lot Current act without a person; reverse engineer the service or use it to build a competing product; or use it in any unlawful way. We may suspend access for breach.
4. Accounts and access
Users are authorised by the Customer. Each User uses their own Facebook account and is responsible for it. Lot Current never requests, stores or uses Facebook passwords, cookies or tokens. The Customer is responsible for its Users' conduct.
5. No guarantees about leads, sales or account status
Lot Current is a tool. We do not guarantee leads, sales, listing visibility, listing approval or the continued good standing of any Facebook account. Automated-access rules are set by Meta and may change without notice.
6. Descriptions and AI assistance
Lot Current can draft listing descriptions from the dealership's own data, optionally using an AI model. Drafts are checked against the source data, but the User reviews and is responsible for every description published.
7. Fees, billing and cancellation
Subscriptions are per rooftop (store) per month, at the prices shown at purchase, billed in advance through our payment processor. Pilot periods are free for the stated period. Either party may cancel at any time; cancellation takes effect at the end of the paid period, and fees already paid are not refunded except where the law requires. We may change prices with 30 days' notice. Taxes are the Customer's responsibility where applicable.
8. Intellectual property
Lot Current and its software are ours. Dealership data stays the Customer's. The Customer grants us a licence to process its data to provide the service.
9. Privacy
Our Privacy Policy explains what we collect and why. In short: dealership and user account details, the posted-listing registry (VIN, listing link, prices, times, who posted), post timings and to-do items, scan counts, billing standing, and, only with the description writer on, the car's facts and the sign-off sent to Anthropic for a draft. No Facebook credentials, messages or buyer data.
10. Disclaimer of warranties
The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and any warranty about compatibility with Meta's services.
11. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost sales, or loss of access to any third-party account. Our total liability for any claim is limited to the fees the Customer paid us in the 12 months before the claim.
12. Indemnity
The Customer will defend and indemnify us against claims arising from its listings, its Users' conduct, or its breach of these Terms or of third-party rules.
13. Changes, termination, general
We may update these Terms with notice; continued use is acceptance. We may terminate for breach. These Terms are governed by the laws of the Commonwealth of Pennsylvania; disputes go to the state or federal courts in [county], Pennsylvania [attorney: consider arbitration and class-waiver language]. If a provision is unenforceable the rest stands. These Terms plus the Dealer Subscription Agreement and any Pilot Agreement are the whole agreement.
